HEC Montréal Ethics, Governance and Nomination Committee

On August 26, 1998, the Board of Directors established an ethics and professional conduct committee under the Code of Ethics and Professional Conduct for the Members of the Board of Directors of the Corporation of the École des Hautes Études Commerciales de Montréal . On November 11, 2022, the Board of Directors entrusted the Ethics, Governance and Nomination Committee with the following mandates.

In matters of ethics

  • develop or update a code of ethics applicable to members of the Board of Directors and all HEC Montréal staff members, including faculty members;
  • fulfill the responsibilities assigned by the Code of ethics and professional conduct of the members of the Board of Directors of the Corporation of the École des Hautes Études Commerciales de Montréal and the other codes of ethics applicable to HEC Montréal;
  • receive, process and dispose of annual declarations;
  • advise the members of the Board of Directors on any question relating to the application of the Code of Ethics and Professional Conduct;
  • present to the Board of Directors an annual report and any recommendations it deems appropriate regarding ethics and professional conduct.

In terms of governance

  • develop governance rules for the conduct of HEC Montréal’s business;
  • develop skills and experience profiles for the appointment of members of the Board of Directors and the various committees of the Board of Directors, with the exception of the person who manages HEC Montréal and the person designated by the Board of Directors the Université de Montréal;
  • develop evaluation criteria for members of the Board of Directors;
  • develop criteria for evaluating the functioning of the Board of Directors
  • develop a welcome and continuing education program for members of the Board of Directors.

Regarding appointments

  • recommend to the Board of Directors the appointments that fall within its competence, taking into account in its recommendations the balance between women and men while seeking to establish an image representative of the diversity of Quebec and Montreal.
